在澳大利亚只有持有澳大利亚金融服务牌照 AFS才可以在澳大利亚提供金融相关的服务。该牌照由澳大利亚证券和投资委员会ASIC根据澳洲公司法第7章颁发。所有相关的法律要求都可以从公司法第7章找到。
AFS牌照适用于以下的业务 ：
- 提供金融产品建议
- 处理金融产品交易
- 构建金融产品市场
- 运营私募基金
- 提供托管和保管服务
- 提供传统的信托服务
- 提供众筹服务
- 提供养老金信托服务
- 处理解决索赔
- 运营投资公司 CCIV
申请AFS 一般包括以下三个步骤
- 确定所需要的授权
在开始AFS申请之前，需要根据生意的性质来弄清楚生意需要什么样的授权。在确定了金融服务的类别以后，比如， 提供金融建议，或者发行特定的金融产品。
- 选择你需要的授权许可
各种金融服务都需要相应的授权，比如提供金融理财建议和开展外汇买卖业务就需要不同的授权。
- 申请金融执照
最后就是提交金融执照申请所需要的材料，包括公司的资质和资产证明。
AFSL 目前带来的商业机遇与挑战
1 加密货币交易所合规
澳洲的这一套Australian financial service (AFS) licensing 的系统是在上个世纪90年代诞生的。 这个系统的设计指导思想是对每一个特定的类别的产品，对应一个特定的客户群体，制定一套管理规则。那个时候没有人预见会产生加密货币交易所这个东西。所以并没有对加密货币这个产品类别做出法律的规定要求。也就是说，根据Corporations Act 2001 (cth) 到目前为止,加密货币或者加密货币交易所在澳洲都不是金融产品，也不是金融产品提供者。
2021 ASIC 给上一页出的一份报告中明确提到要把建立一个针对加密货币的market licensing regime. 包括引入capital adequacy （资产充足率), Auditing (审计), responsible perosn tests (责任人测试）
想要进入这个领域的律师事务所可以给这些CEX机构的合规部门，定期发一些澳大利亚ASIC对于这个执照要求的更新，和各个国家对于crypto 交易的最新出台的法律法规要求。对于小所来说可以只关注本国的金融法律要求，对于有志向建立国际品牌的律师事务所来说，这个CEX合规和执照申请可能是难得的切入点。
目前来说，加密货币交易所只需要满足反洗钱法律要求， Anti-Money Laundering, 和反恐法律要求，Counter-Terrorism 和 身份合规要求 KYC legislation的要求，向Australian Transaction Reports and Analysis Centre(Austrac) 提交报告就可以。 并没有对于加密货币交易所需要的外部审计或者IT 安全标准的要求。
对于AUSTRAC的报告的要求也很简单， 只需要公司有一个AML/KYC 政策
